Orders for Services:
By placing an order on the Documint’s Web site, the Customer is placing an order for service. Documint agrees to fulfill each accepted order in accordance with the terms and conditions of this Agreement. Upon completion of such service by Documint, Customer agrees to pay Documint the amount based on the fees outlined on its Web site.
Hours of Operation:
- Orders may be placed 24/7.
- Hours of Operation are 8:00 am CT through 5:00 pm CT, Monday through Friday, Documint holiday excluded.
Saturdays, Sundays and Holidays are not calculated in the turnaround time. Documint observes the nine (9) holidays listed: January 1; Memorial Day; Fourth of July (observed); Labor Day; Thanksgiving and following day; December 24; December 25; and December 31. Documint will provide notice at the beginning of each new calendar year if changes in days observed change.
Payment:
A credit card (VISA, MasterCard or American Express) must be given at the time an order is placed. All fees associated with the services provided by Documint will be charged to the credit card provided.
Customers may set up an account with Documint. If an account if approved, Customer will be invoiced after the completion and delivery of an order. Payment terms are net 30 days, 18% APR after 40 days. Net Transcript reserves the right to establish different payment terms on a case-by-case basis.
English Transcription – Turnaround:
Turnaround time begins once a project has been recording has been completed or audio has been upload the Documint’s Web or ftp site. Turnaround time ends when the transcript is sent electronically.
Second Business Day
- Audio under 4 hours in length that is complete before 5:00 PM CT, will be processed and emailed within 48 hours of the second business day. For example, a 2-hour recording that is submitted at 4:00 PM will be processed by 4:00pm the next business day.
- Audio under 4 hours in length that is complete after 5:00 PM CT, will have a processing start time of 8:00am CT the next business day. For example, a 2-hour recording that is submitted on Tuesday at 5:30 pm will begin processing on Wednesday at 8:00 am and completed by Thursday at 8:00am CT.
- Audio that is at or over 4 hours in length may experience a delay. Specific delivery dates and times will be emailed upon receipt of audio.
Next Business Day
- Audio under 4 hours in length that is complete before 5:00 PM CT, will be processed and emailed within 24 hours of the next business day. For example, a 2-hour recording that is submitted at 4:00 PM will be processed by 4:00pm the next business day.
- Audio under 4 hours in length that is complete after 5:00 PM CT, will have a processing start time of 8:00am CT the next business day. For example, a 2-hour recording that is submitted on Tuesday at 5:30 pm will begin processing on Wednesday at 8:00 am and completed by Thursday at 8:00am CT.
- Audio that is at or over 4 hours in length may experience a delay. Specific delivery dates and times will be emailed upon receipt of audio.
Same Day
- Audio processed for same day turnaround must be under 120 minutes in length.
- Audio that is complete at or before 12:00 PM CT will be processed and emailed the same day by 5:00 PM CT.
- Audio that is complete after 12:00 PM CT will be processed and emailed the next business day by 8:00 AM CT.
3-Hour Turnaround:
- Audio processed for 3-hour turnaround must be under 90 minutes in length.
- Audio that is complete at or before 2:00 PM CT will be processed within 3 hours.
- Request for 3-hour turnaround must have be placed 48 hours before the event is to take place.
Non-U.S. English Transcription and Translation:
This Service allows an audio session which was recorded in a foreign language to be transcribed as spoken. Once the transcription is complete, it is distributed in the same way as U.S. English transcriptions. Foreign transcriptions and translation turnaround time will vary by project.
Transcription
Audio received in a foreign language will be transcribed as spoken.
- Documint must receive 48-hours notice of a request for transcription for all non-English audio. If proper notice is not received and at the sole discretion of Documint, the notice may be added to the turnaround to provide sufficient time to secure resources for the service requested.
- Turnaround is 72 hours from the time the complete audio is received, recorded or otherwise delivered to Documint.
- The volume levels that can be processed each day and for each language vary and may affect actually turnaround time. Specific turnaround quotes will be given at time of order provided Customer provides actual audio length and audio topic.
Translation
A document or transcript in a foreign language is translated into English.
- Documint must receive 48-hours notice of a request for translation of a document. If proper notice is not received and at the sole discretion of Documint, the notice time may be added to the turnaround to provide sufficient time to secure resources for the service requested.
- Documint does not interpret from an audio source to an English transcript. Transcription of the non-English audio must occur prior to translation.
- Turnaround varies from the time the completed document is transcribed or otherwise delivered to Documint. An estimated delivery time will be provided upon reviewing the document for translation. In general, if a document was transcribed from a sixty-minute audio file, the turnaround can be approximated to be four business days. If the subject matter being translated is of a technical or medical nature, an addition business day is usually needed. This is only a guideline and the quoted turnaround time will become the actual length of the turnaround.
Interpretive Translation - Spanish Only
Audio is listened to by a qualified translator. Translator types out the translation directly in English.
- Documint must receive 48-hours notice of a request for interpretive translation. If proper notice is not received and at the sole discretion of Documint, the notice time may be added to the turnaround to provide sufficient time to secure resources for the service requested.
- Turnaround varies from the time the completed document is transcribed or otherwise delivered to Documint. An estimated delivery time will be provided upon reviewing the document for translation. In general, if a document was transcribed from a sixty-minute audio file, the turnaround can be approximated to be three business days. This is only a guideline and the quoted turnaround time will become the actual length of the turnaround.
Accuracy/Acceptability:
- Documint agrees to maintain 98.8% minimum accuracy for requested services unless otherwise defined for a specific service offering.
- Accuracy is defined as the correct words as spoken in the audio file, proper spelling of words, the use of Documint’s standard format or other formats as mutually agreed upon, and the proper use of any provided participant/terms lists on all transcriptions.
- Accuracy for translations is defined as the correct use of words and phrases that conveys the intended meaning of the speaker as it was originally spoken and the proper spelling of words.
- Accuracy measurement for transcription will not be impacted if Documint cannot understand words due to the use of cell phones, speakerphones, international conference lines, poor conference or conference room acoustics, individual micro phoning problems, or words in languages other than English and English words spoken with foreign accents.
- Transcribed work that Customer deems not acceptable shall be returned electronically to Documint, with any errors noted or for re-proof, within 7 days after delivery from Documint. Documint shall correct any such errors within two business days receipt. If Customer does not notify Documint of any errors within 7 days from the date Documint completed the transcription, then the transcription work shall not be reviewable by Documint but will be addressed with the team if Customer finds the transcript did not meet the accuracy standard.
- Additional information, participant lists, websites, etc that are provided to the Documint after the transcription has been completed will not require the Documint to make changes to the transcript unless Customer agrees to pay applicable editing fees.
Participant/Parts Lists, Names & Unintelligibles:
- When participant names are requested throughout the transcript, Customer requires a participants list (or “parts” list) which is forwarded on to the Documint. Names are spelled according to the participant list Customer receives.
- In order to meet specified turnaround times, participant lists must be received within 2 hours of conference conclusion. Participant lists receive after this 2-hours period may result in delivery delays.
- Participant names, principle names, product names, and product or industry-specific terminology for which Documint is not provided correct spelling in advance, or for which Customer/Reseller is unable to locate a correct spelling during its own research efforts, are spelled phonetically and placed in parentheses.
- (Unintelligible) or (unintelligible) is a flag used within Documint’s transcripts to note that the transcriptionist and proofreader were unable to hear or decipher the word or words being spoken at that point Documint is not responsible for (unintelligible) flags generated due to the use of cell phones, speaker phones, international conference lines, poor conference or conference room acoustics, individual micro phoning problems, or works in languages other than English and English words spoken with foreign accents.
The parties hereby agree to the pricing and rates for services as set forth below:
Pricing Per Minute Billing:
- Projects are billed based on the total length of the audio file transcribed and the turnaround requested as outlined on Documint’s Web site.
- There is a minimum charge of 15 minutes for all English-to-English transcription.
- Minimum charges (Min Charge) apply for all non-English transcription and translation. A list of non-English service prices can be obtained by contacting Documint.
- If resources have been secured for a non-English project, the minimum charge will be applied for a cancelled project. If work on a project has begun, the minimum charge for the amount transcribed or translated at the time of cancellation will be charged, whichever is greater.
- For non-English projects per minute pricing is based on 6 hours working time. Audio with poor quality, industry-specific terms, accented speakers, or highly medical or technical conferences may require more working time and additional charges may apply.
- Additional charges may apply for value-added services, additional returns, and web-ready formats, etc. A list of these service prices can be obtained by contacting Documint.
- Prices set forth on Documint’s Web site are the most current prices for English transcription. Documint may at its sole discretion and without notice change pricing for non-English and other services. A current price list can be obtained by contacting Documint.
Cancellation:
- Cancellation charges apply to any project that is cancelled after recording has begun or digital audio has been delivered to Documint.
- Regular rates will apply for any project that is cancelled after transcription has begun.
DISCLAIMER OF WEB SITE WARRANTIES:
The Documint Web Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Documint makes no representations or warranties of any kind, express or implied, regarding the results of use of this Web Site. Documint shall have no liability for any interruptions in the use of this Web Site. Documint disclaims all warranties with regard to information appearing on this Web Site, including implied warranties of merchantability and fitness for a particular purpose, and non-infringement.
SERVICE AND PRODUCT WARRANTY:
Documint does warrant the accuracy of services and products which you may order by use of this Web Site. The Documint Accuracy Warranty is as set forth in Section 7 above. The Accuracy Warranty is the only warranty made by Documint with respect to any service or product you may order by use of this Web Site. The terms and conditions of this User Agreement are in lieu of any and all other representations and warranties. DOCUMINTMAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES, INCLUDING THOSE OF MERCHANTIABILITY OR FITNESS FOR ANY PARTICULAR USE, OTHER THAN THE ACCURACY WARRANTY EXPRESSLY SET FORTH IN SECTION 7 ABOVE.
LIMITATION OF LIABIITY:
In the event of the failure of Documint to comply with the Accuracy Warranty set forth in Section 7, the sole obligation of Documint and your only remedy shall be replacement of the transcript or other product which does not meet the Accuracy Warranty or, at the discretion of Documint, return of the amount paid for that transcript or other product.
Documint's only liability to you or any party shall be as set forth immediately above, and this limitation of liability applies to any damages or injury caused by error, omission, defect, delay or any other cause whatsoever, whether such damages are claimed as the result of breach of contract, tort, negligence or any other cause of action whatsoever. With the exception of replacement or refund as set forth above as a remedy for breach of the Accuracy Warranty, Documint, it officers, employees, agents and contractors shall not be liable to you or any party for damages including, without limitation, direct, indirect, incidental, special, consequential or punitive.
INDEMNIFICATION:
You agree to indemnify and hold Documint, its affiliates, officers, employees, agents and contractors harmless from any claim or demand, including reasonable attorneys' fees and costs, made by any third party due to or arising out of your use of this Web Site and/or products or services provided to you by Documint, including, but not limited to, claims related to the content of such products or services, such as claims for infringement and/or defamation, and claims arising out of the publication or disclosure of materials transcribed.
MODIFICATION AND INTERRUPTION OF SERVICE:
Documint reserves the right to modify or discontinue this Web Site and products and services provided by means of this Web Site, with or without notice. Documint shall not be liable for modification or discontinuance of this Web Site and the products and services provided by means of this Web Site.
GOVERNING JURISDICTION OF COURTS:
Our Web Site is operating and provided in the State of Arizona. As such, Documint is subject to the laws of the State of Arizona, and the laws of Arizona will govern the terms of this User Agreement. Any actions between you and Documint arising as the result of your use of this Web Site or products and services provide as a result of your use of this Web Site shall be venued in the Arizona state courts at Phoenix, Arizona.
COMPLIANCE WITH LAWS:
You are responsible for compliance with any applicable laws regarding the material submitted for transcription pursuant to this Web Site, and you agree to indemnify and hold Documint harmless from any liability to third parties arising therefrom.
OTHER TERMS:
If any provision of this User Agreement shall be unlawful, void or unenforceable for any reason, the other provisions shall not be effected thereby and shall remain valid and enforceable to the maximum extent permitted by law. |
